Abstract

[fr] Lorsque le parcours d’une reprise est analysé, le constat est sans appel : le parcours d’un jeune repreneur est complexe et semé d’embûches. Plusieurs difficultés entravent son chemin : le financement, le manque de connaissance du processus de reprise et d’expérience managériale, un réseau professionnel inexistant et un problème de crédibilité. A cela s’ajoutent la longueur du processus et le côté émotionnel. De plus, le sentiment de solitude peut accentuer ces effets.

Pour aider un jeune repreneur, différentes aides sont disponibles. Entre autres, un accompagnement par des professionnels semble indispensable pour réaliser l’évaluation de l’entreprise et aider à la rédaction des clauses de la convention. Après la reprise, un suivi sous forme de mentorat (ou de partenariat) est une plus-value qui peut aider le nouveau dirigeant dans certaines situations. En Wallonie, d’autres aides telles que financières existent également.

Dans cette optique de reprise, les search funds apparaissent comme étant un modèle intéressant pour faciliter la transmission des sociétés parce qu’ils ont un grand nombre d’avantages qui pallient les lacunes des jeunes candidats repreneurs. En effet, selon ce modèle en pleine expansion en Europe, le jeune est accompagné par un groupe d’investisseurs depuis le début de l’aventure. Ceux-ci apportent un soutien financier mais aussi une aide importante en terme de conseils que ce soit pour trouver et acquérir une entreprise ou pour la faire évoluer après son achat.

Cependant, les search funds visent des entreprises trop importantes pour le tissu économique wallon qui est constitué en très grosse partie de petites PMEs. Il est donc difficilement applicable tel quel pour de jeunes repreneurs wallons. C’est pourquoi, un modèle d’accélérateur de reprise est proposé dans le cadre de cette thèse de Master. Celui-ci serait un fonds d’investissement (sous la forme d’une holding) qui prendrait part dans différentes reprises dans le but d’investir aux côtés des jeunes repreneurs en apportant un soutien financier mais aussi en établissant une relation collaborative avec ceux-ci. En effet, une fois l’entreprise acquise, le jeune en deviendrait le dirigeant mais garderait un lien avec ses investisseurs vers lesquels ils pourraient se tourner pour demander conseils. Au sein de cette structure, il pourrait aussi y avoir des services partagés entre les entreprises du fonds (par exemple, la comptabilité ou les ressources humaines) et une communauté entre les différents repreneurs pourrait se former.

[en] As taking a business over is a complex operation, the observation is clear : the adventure for a young buyer is difficult with a lot of pitfalls to avoid. Several difficulties are accross its way : financing the acquisition, the lack of management experience, absence of any professional network as well as the possibility of credibility problems. Moreover, the length of the process and its emotional side can also be issues, in particular if they are reinforced by the feeling of loneliness.

In order to help the buyer, different solutions exist. Amongst them, being accompanied by professionals seems to be mandatory to make the assessment of the company as well as to help writing the contract. After the acquisition, a follow-up under the form of a mentoring relationship can be of great values to help the new business boss in its function. In Wallonia, there are also other aids such as some public financial ones.

In the perspective to improve business transfers, search funds appear to be a very promising investment vehicle. These funds have, indeed, a great number of advantages that tend to tackle down a lot of weaknesses of young buyers. According to this model, which is in full expansion across Europe, the young entrepreneur is supported by a group of investors from the beginning of the adventure. The latter bring some financial means but also have a collaborative role. Their pieces of advice are not only to help the young to look for and buy a company, but also to make it evolve afterwards.

However, search funds target businesses that are too large for the types of companies present in Wallonia, which are usually small ones. The traditional search fund model is therefore difficult to apply in the region. This is why, in this Master Thesis, a business accelerator model is proposed, based on the ideas of search funds. It will take the form of a small investment fund that will deal in several transactions in order to invest along with young buyers. As a result, it will bring some financials aids, but also a collaborative relationship. Indeed, once the acquisition is performed, the young entrepreneur will become the CEO of the company and will keep a collaborative link with its investors in order to receive pieces of advice from them. Some additional services (e.g. accounting or human resources) could be shared between the different businesses of the fund as well as a community formed between the entrepreneurs.
