Valorisation d'une biotechnologie pharmaceutique par contrat de licence

Abstract

La première partie du travail consiste à passer en revue les différentes informations existant dans la thématique scientifique à propos des grandes thématiques relatives à la problématique : le brevet et la propriété intellectuelle, le contrat de licence, l’évaluation d’un actif de propriété intellectuelle et la fixation d’un prix à partir de celle-ci. La dernière partie de la revue de littérature est consacrée à la présentation du secteur des biotechnologies et à la mise en évidence des particularités de ce secteur spécifique aux regards des thématiques présentées dans les premiers chapitres. La recherche en elle-même est composée de deux étapes : l’une quantitative et l’autre qualitative. La première réside dans l’élaboration d’un modèle calculatoire basé sur des prévisions de cashflow sur 20 ans permettant, d’une part, d’obtenir un indice de valeur utile dans le cadre de la négociation d’un contrat de licence et de la fixation d’un taux de royalties adapté, et, d’autre part, à mettre en évidence les spécificités du développement d’une biotechnologie pharmaceutique. La deuxième étape de la recherche consiste en des interviews qualitatives auprès de personnes exerçant une profession à différents stades du développement du médicament et, ce, dans la perspective d’approfondir les observations faites à partir du modèle calculatoire, notamment à propos du financement et du risque inhérent au développement de la biotechnologie. Enfin, la dernière étape est d’élaborer une conclusion permettant non seulement de synthétiser les résultats obtenus au cours du travail mais aussi de mettre en évidence les limites de celui-ci tout en en émettant des pistes de recherche ultérieures pertinentes.

The first part of the work consists of reviewing the information available in the scientific literature concerning the main topics related to the problematic: patents and intellectual property, licensing agreements, intellectual property valuation and pricing. The last part of the literature review is dedicated to the presentation of the biotechnology sector and to the identification of the particularities of this specific sector with regard to the themes presented in the first chapters. The research itself is composed of two stages: the first one is quantitative and the second one is qualitative. The first one is the development of a computational model based on 20-year cash flow forecasts, which will allow us, on the one hand, to get a useful value index for the negotiation of a license and to define a suitable rate of royalties and, on the other hand, to highlight the specificities of the development of a pharmaceutical biotechnology. The second stage of the research consists of qualitative interviews with people practising a profession at different stages of the development of a pharmaceutical biotechnology, with a view to deepening the observations made on the basis of the computational model, in particular about the financing and the risk management. Finally, the last step is to draw up a conclusion not only to synthesize the results obtained during the work, but also to highlight the limits of the work, while at the same time emitting relevant avenues for further research.
